1. Terms & Conditions of Use

1.1 Parties & Agreement

These Terms & Conditions ("Terms") govern your access to and use of the IIDATECH platform, website, tools, and related services (collectively, "the Platform") provided by IIDATECH, operated by Vidhu Gupta ("Company", "we", "our", "us"), with its principal place of business in Pune, Maharashtra, India.

"User", "you", or "your" refers to any individual or legal entity that registers for, accesses, or uses the Platform in any capacity.

By creating an account, making a purchase, or otherwise using the Platform, you confirm that you are at least 18 years of age, legally capable of entering into binding contracts, and that you agree to these Terms in full. If you do not agree, you must not use the Platform.

1.2 Description of Services

IIDATECH provides an AI-powered business intelligence platform that enables users to:

• Generate market research reports for specified industries and geographies;

• Create AI-generated business plans and financial projections;

• Produce execution roadmaps and operational checklists;

• Access mentorship recommendations (AI-based and human referrals);

• Obtain workflow automation and branding support services.

All reports and outputs are generated using artificial intelligence and are provided for informational and planning purposes only. They do not constitute professional financial, legal, tax, or investment advice.

1.3 Account Registration & Security

To access the Platform you must register an account by providing accurate, complete, and current information. You are solely responsible for:

• Maintaining the confidentiality of your account credentials;

• All activity that occurs under your account;

• Immediately notifying us of any unauthorised use at vidhu@pronto.me.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent activity.

1.4 Credits, Payments & Subscriptions

The Platform operates on a credit-based and/or subscription model. The following terms apply:

• New registered users receive 30 complimentary credits upon registration ("Free Credits"). Free Credits are non-transferable, have no monetary value, and cannot be redeemed for cash.

• Paid credits and subscription plans are charged at the rates displayed on the Pricing page at the time of purchase.

• All prices are in Indian Rupees (INR) unless otherwise stated and are inclusive of applicable taxes where required.

• Payment is due in advance. We use third-party payment processors; their terms also apply to your transaction.

• Purchased credits do not expire within 12 months of purchase unless the account is terminated for breach of these Terms.

• We reserve the right to modify pricing at any time; such changes will not affect credits already purchased.

1.5 Acceptable Use

You agree to use the Platform only for lawful purposes and in a manner consistent with all applicable Indian and international laws, including the Information Technology Act, 2000 and its amendments. You must not:

• Upload, transmit, or process any content that is unlawful, defamatory, fraudulent, harmful, or infringes third-party intellectual property rights;

• Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms;

• Use automated tools, bots, scrapers, or scripts to access the Platform without our prior written consent;

• Resell, sublicense, or redistribute Platform outputs as your own proprietary AI system;

• Use outputs to create competing products that replicate the core function of the Platform;

• Submit false, misleading, or fabricated business information with intent to manipulate outputs;

• Attempt to circumvent access controls, authentication systems, or billing mechanisms.

1.6 Intellectual Property

1.6.1 Platform Ownership

The Platform, including its software, AI models, algorithms, UI/UX design, branding, trademarks, and all underlying technology, is the exclusive intellectual property of IIDATECH and is protected under the Copyright Act, 1957 (India) and applicable IP laws. No rights are transferred to you except as expressly stated herein.

1.6.2 Output Ownership

Reports, plans, and documents generated by the Platform based on your specific inputs ("Outputs") are provided to you for your personal or internal business use. You may use Outputs for lawful commercial purposes including investor presentations, loan applications, and business planning. However, you may not represent AI-generated Outputs as independently authored professional advice from a licensed consultant, auditor, or legal professional.

1.6.3 User Content

By submitting information to generate Outputs, you grant IIDATECH a limited, non-exclusive, royalty-free licence to process that information solely for the purpose of delivering the requested service. We do not claim ownership of your business ideas or proprietary information.

1.7 Disclaimer of Warranties

THE PLATFORM AND ALL OUTPUTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

We do not warrant that:

• Outputs will be accurate, complete, error-free, or suitable for any specific purpose;

• AI-generated financial projections, market sizes, or business valuations reflect real-world conditions;

• The Platform will be available uninterrupted or free from technical errors.

You are solely responsible for independently verifying any information before relying on it for commercial, financial, or legal decisions.

1.8 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IIDATECH, ITS DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages;

• Loss of profits, revenue, data, business opportunity, or goodwill;

• Decisions made by you or third parties in reliance on Platform Outputs;

• Business failure, investment loss, or regulatory non-compliance arising from use of the Platform.

In no event shall our aggregate liability to you for any claim arising under these Terms exceed the total amount paid by you to IIDATECH in the three (3) calendar months immediately preceding the date of the claim.

1.9 Indemnification

You agree to indemnify, defend, and hold harmless IIDATECH and its officers, directors, employees, and agents from and against any claims, liabilities, damages, penalties, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use or misuse of the Platform;

• Your violation of these Terms or applicable law;

• Your submission of false, misleading, or infringing content;

• Any third-party claim arising from your use of Outputs.

1.10 Modifications to the Service & Terms

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time with or without notice. We may update these Terms periodically. The revised Terms will be posted with an updated effective date. Continued use of the Platform after the revised Terms are posted constitutes your acceptance of the changes. For material changes, we will provide at least 14 days' notice via email or in-app notification.

1.11 Termination

Either party may terminate access to the Platform at any time. We may suspend or terminate your account immediately and without notice if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. Upon termination, your right to access the Platform ceases; unused paid credits may be eligible for a refund subject to our Refund Policy below.

1.12 Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of India. Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties for a period of 30 days. If unresolved, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, conducted in Pune, Maharashtra, in the English language. The courts of Pune, Maharashtra shall have exclusive jurisdiction for any matter not subject to arbitration.

1.13 Force Majeure

IIDATECH shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet outages, cyberattacks, pandemics, or third-party service provider failures.

1.14 Severability & Waiver

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

2. Privacy Policy

2.1 Overview

IIDATECH is committed to protecting your personal data. This Privacy Policy explains what information we collect, how we use it, how we protect it, and your rights in relation to it. This policy applies to all users of our website and Platform and complies with the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 and the Digital Personal Data Protection Act, 2023 ("DPDP Act").

2.2 Data We Collect

2.2.1 Information You Provide

• Account data: Name, email address, phone number, and password when you register;

• Business input data: Business ideas, industry descriptions, geographic preferences, and other inputs you enter to generate reports;

• Payment data: Billing information processed by our payment service providers (we do not store full card numbers);

• Communications: Messages you send us via contact forms, email, or chat.

2.2.2 Information Collected Automatically

• IP address, browser type, device type, and operating system;

• Pages visited, features used, time spent on Platform, and clickstream data;

• Cookies and similar tracking technologies (see Section 2.7).

2.3 How We Use Your Data

We process your personal data only for the following lawful purposes:

• Service delivery: To create your account, generate requested reports and Outputs, and process payments;

• Communication: To respond to enquiries, send transactional emails (receipts, account notices), and provide support;

• Marketing (with consent): To send newsletters and promotional communications if you have opted in. You may withdraw consent at any time;

• Platform improvement: To analyse usage patterns and improve the quality of our AI models and outputs (using aggregated, de-identified data only);

• Legal compliance: To comply with applicable laws, regulations, court orders, and to enforce our Terms.

2.4 Data Retention & Idea Security

We understand that your business ideas are sensitive. Our specific practices are:

• Business input data (your idea descriptions and inputs) are processed in real time to generate Outputs and are not stored on our servers after your session ends, unless you explicitly save a report to your account;

• Saved reports are retained in your account for as long as your account remains active;

• Account and billing data are retained for 7 years from the date of the last transaction to comply with Indian accounting and tax laws;

• Upon account deletion, all personal data is deleted or anonymised within 30 days, except where retention is required by law.

2.5 Data Sharing & Third Parties

We do not sell your personal data. We may share data with:

• Payment processors (e.g. Razorpay, Stripe) solely to process transactions under their respective privacy policies;

• Cloud infrastructure providers who host our Platform under data processing agreements requiring equivalent security standards;

• AI model API providers used to generate Outputs, subject to their data processing terms — inputs are not retained by providers for training purposes under our agreements;

• Legal authorities where required by law, court order, or to protect the rights and safety of our users or the public.

Any third-party sharing is governed by data processing agreements that require recipients to maintain appropriate security and confidentiality.

2.6 Data Security

We implement industry-standard technical and organisational measures to protect your data, including:

• TLS/SSL encryption for all data in transit;

• Encrypted storage for sensitive data at rest;

• Access controls limiting data access to authorised personnel only;

• Regular security reviews and vulnerability assessments.

No method of electronic transmission or storage is 100% secure. In the event of a personal data breach that is likely to affect your rights, we will notify you and the relevant authorities as required under applicable law within 72 hours of becoming aware of the breach.

2.7 Cookies

We use cookies and similar technologies for the following purposes:

• Essential cookies: Required for the Platform to function (login sessions, security);

• Analytics cookies: To understand how users interact with the Platform (e.g. Google Analytics — anonymised IP);

• Marketing cookies: Only placed with your explicit consent.

You may disable non-essential cookies via your browser settings or our cookie consent tool. Disabling essential cookies may impair Platform functionality.

2.8 Your Rights

Under the DPDP Act, 2023 and applicable Indian data protection regulations, you have the right to:

• Access: Request a copy of the personal data we hold about you;

• Correction: Request correction of inaccurate or incomplete data;

• Erasure: Request deletion of your personal data (subject to legal retention obligations);

• Withdrawal of consent: Withdraw consent for marketing communications at any time;

• Grievance redressal: Lodge a complaint with our Grievance Officer or the Data Protection Board of India.

To exercise any of these rights, email our Grievance Officer at vidhu@pronto.me. We will respond within 30 days.

2.9 Children's Privacy

The Platform is not directed at individuals under 18 years of age. We do not knowingly collect personal data from minors. If we become aware that a minor has provided personal data, we will delete it promptly. Parents or guardians who believe their child has submitted data to us should contact us immediately.

2.10 Changes to This Policy

We may update this Privacy Policy to reflect changes in our practices or legal requirements. We will provide notice of material changes by email or prominent notice on the Platform. The updated policy will be effective from the date posted.

3. Refund & Cancellation Policy

Effective date: April 10, 2026  |  Governing law: Consumer Protection Act, 2019 (India)

3.1 Overview

This Refund & Cancellation Policy governs all purchases made on the IIDATECH Platform. Because our services involve AI-generated digital content that is delivered immediately upon request, refunds are subject to the conditions below. This policy is in accordance with the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020.

3.2 Credit Purchases

3.2.1 Eligible for Refund

You are entitled to a full refund of unused purchased credits under the following circumstances:

• You have not used any of the purchased credits at the time of the refund request;

• The refund request is made within 7 days of the original purchase date;

• The purchase was made due to a technical error, duplicate charge, or Platform failure attributable to IIDATECH.

3.2.2 Partial Refunds

A partial refund for the unused portion of a credit pack may be considered (at our discretion) if:

• A significant Platform outage prevented use of credits for more than 48 consecutive hours;

• The refund request is made within 7 days of purchase and fewer than 30% of credits have been used.

3.2.3 Not Eligible for Refund

No refund will be issued in the following circumstances:

• Credits have been fully or substantially used (more than 30% consumed);

• The refund request is made more than 7 days after purchase;

• Dissatisfaction with the content, tone, or specific details of an AI-generated Output (as these reflect inherent limitations of AI, not a service failure);

• Account suspension or termination due to breach of Terms & Conditions;

• Free credits (which carry no monetary value).

3.3 Subscription Plans

If IIDATECH offers recurring subscription plans in the future, the following terms apply:

• You may cancel a subscription at any time through your account settings;

• Cancellation takes effect at the end of the current billing period; you will retain access until that date;

• We do not offer pro-rata refunds for unused days within a billing period;

• Subscriptions cancelled within 24 hours of the first payment (before any reports are generated) are eligible for a full refund.

3.4 Custom & Agency Services

For bespoke automation, branding, or done-for-you services contracted separately:

• A written service agreement will specify payment milestones and refund terms;

• In the absence of a separate agreement, a 50% deposit is non-refundable once work has commenced;

• Disputes regarding deliverable quality must be raised within 7 days of delivery.

3.5 How to Request a Refund

To submit a refund request:

1. Email vidhu@pronto.me with the subject line: "Refund Request – [Your Registered Email]";

2. Include your account email, order/transaction ID, date of purchase, and reason for the request;

3. We will acknowledge your request within 2 business days;

4. Eligible refunds will be processed to the original payment method within 5–10 business days of approval;

5. Refund timelines may vary depending on your bank or payment provider.

3.6 Chargebacks

Initiating a chargeback with your bank without first contacting us constitutes a breach of these Terms. If a chargeback is found to be fraudulent or in violation of these Terms, we reserve the right to permanently suspend the associated account and pursue recovery of the disputed amount through lawful means.

3.7 Consumer Rights

Nothing in this Refund Policy is intended to limit your statutory rights under the Consumer Protection Act, 2019 or any other applicable consumer protection legislation in India. If you believe you have a valid consumer complaint that has not been addressed, you may file a complaint at the National Consumer Disputes Redressal Commission (NCDRC) portal at consumerhelpline.gov.in.
